Norman Harrison is a senior managing director in the FTI Consulting Forensic and Litigation Consulting practice and is based in Washington, D.C.  For over 25 years, Mr. Harrison has advised public and private companies in connection with internal investigations; corporate governance issues; alleged breaches of fiduciary duties; SEC and other regulatory enforcement matters; design and evaluation of compliance programs; enterprise risk assessments; investment adviser formation and regulation; and SEC and DOJ settlement fund administration.  Mr. Harrison has also worked under appointment by the SEC and DOJ in monitoring compliance with deferred prosecution and other settlement agreements.

Experience

Mr. Harrison has extensive experience monitoring compliance with settlements of regulatory enforcement, civil and criminal matters.  For example, in a prior position Mr. Harrison led a multi-disciplinary team in monitoring a Big Four accounting firm under the terms of a deferred prosecution agreement relating to the marketing of tax shelter products.  Mr. Harrison also played a major role in a multi-year monitoring of the former WorldCom/MCI.

Mr. Harrison has also conducted numerous internal investigations in matters arising from shareholder allegations, federal investigations (including, for example, federal securities law, FCPA and antitrust matters), media exposés and other circumstances. 

Mr. Harrison has advised numerous companies on the design, implementation and testing of compliance programs, ethics policies and training programs, and also has substantial experience, both as an outside adviser and an internal compliance officer, in regulatory and compliance matters relating to private equity funds, hedge funds and other financial sponsors.   Mr. Harrison has also advised boards of directors and developed expert testimony on fiduciary duty and compliance issues in a wide range of situations and also has extensive experience advising companies in matters relating to corporate governance and internal controls. 

In a prior position, Mr. Harrison played a senior role in the administration and distribution of several SEC Fair Funds and DOJ forfeiture funds totaling over $2 billion in assets, including those relating to the WorldCom, Enron and Adelphia frauds.  Mr. Harrison has substantial experience in all elements of settlement fund administration, including distribution plan design; development of eligibility criteria and loss calculation metrics; and complex claim data analysis.

Immediately prior to joining FTI Consulting, from 2003-2011 Mr. Harrison was a senior managing director of Richard C. Breeden & Co., an advisory services firm specializing in internal investigations, corporate monitoring, litigation and regulatory consulting, and restructurings and workouts.  Mr. Harrison served also as managing director of RCB Fund Services, a provider of claims administration services, and from 2005-2009 as managing director and chief compliance officer of Breeden Capital Management, an SEC-registered investment adviser, and its European affiliate. 

Mr. Harrison is an honors graduate of Georgetown University (B.S.B.A. Finance) and the Georgetown University Law Center.
